Welcome to Yak2Me ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Yak2Me and all affiliated website, mobile application, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

Acceptance of Terms

By using the Services, you confirm your agreement to be bound by these Terms. "You" and "your" refer to you, as a user of the Services. If you are using the Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

By accepting these Terms, you agree to resolve any disputes with exclusively through binding arbitration on an individual basis. This agreement means that you relinquish the right to have disputes settled in a court by a judge or jury. Additionally, you waive the right to participate in any class action lawsuits, class-wide arbitrations, or any other representative legal proceedings against us.

User Registration, Account Security, and Conduct

Registration Obligations: You agree to provide accurate and complete registration information.
Account Security: You are responsible for maintaining the confidentiality of your account and password. Notify us immediately of any unauthorized use.
Conduct: You agree to comply with our Community Guidelines and not to use the Services for prohibited activities, including but not limited to infringing intellectual property, submitting harmful content, or misusing the Services.

Subscription, Payment, and Refund Policy

Subscription Models: Yak2Me offers two primary payment models: a monthly subscription and a pay-as-you-go option using tokens.
Payment Terms: You agree to timely pay all fees associated with your chosen subscription model.
No Refund Policy: Due to the immediate consumption of digital content, all payments made to us. for use of the Yak2Me and affiliated services are non-refundable.

User-Generated Content and Rights

Content Responsibility: You are responsible for ensuring that the characters and content you create comply with these Terms and do not infringe upon others' rights.
Image Use Policy: We modify submitted images to prevent exact replication of original faces.
Privacy Protection: Created Characters should not infringe on real-world people’s privacy. They represent made-up people.
Intellectual Property: You must own or have rights to the images and content submitted on our platform.

Prohibited Activities and Conduct

When using all Services provided by Yak2Me and affiliates., you also agree not to submit any content or engage in any activity that:

Contains harmful software such as viruses, or any code or program that might interrupt, damage, or limit the functionality of any computer software, hardware, or telecommunication equipment.
Poses a risk to anyone's privacy or security.
Is a form of unsolicited or unauthorized advertising, promotional materials, or solicitation, including but not limited to junk mail, spam, chain letters, pyramid schemes.
Involves the exploitation or abuse of minors, including any content related to child sexual exploitation or abuse, grooming, or sexual extortion.
Is deemed objectionable by us., restricts or inhibits others from using or enjoying the Services, or poses a risk of harm or liability to Yak2Me., or its users.

In using the Services provided by Yak2Me., you agree to refrain from the following actions:

Disregarding or failing to comply with any requirements, procedures, policies, or regulations of networks associated with the Services.
Breaching any applicable laws or regulations.
Falsely impersonating any individual or entity, or falsely representing your association with any individual or entity.
Soliciting personal information from individuals under 18 years of age.
Harvesting or collecting email addresses or other personal contact information of other users from the Services, for the purpose of sending unsolicited emails or other types of unsolicited communications.
Attempting to access or acquire any information or data through means not deliberately provided or made available through the Services.
Leasing, lending, selling, or sub-licensing any part of the Services without authorization.
Attempting to bypass or circumvent any security or protective measures related to the Services or any associated technology.
Reverse engineering, disassembling, decompiling, decoding, modifying, or attempting to extract the source code of the Services, in whole or in part, except where such actions are expressly permitted under an open-source license applicable to parts of the Services' code.

Intellectual Property Rights of Yak2Me

Service Content:

The Services may contain content protected by intellectual property laws. You agree not to engage in unauthorized use of such content.

Trademarks:

The Yak2Me name and logos are trademarks. Unauthorized use of these trademarks is prohibited.

Content Policy:

Upon submitting your content to Yak2Me., you maintain any ownership rights you originally held in that content. By submitting content, you grant Yak2Me a non-exclusive, global, royalty-free, fully paid, transferable, sublicensable, perpetual, and irrevocable license to reproduce, display, upload, perform, distribute, transmit, make available, store, modify, utilize, and commercially use the content in any manner related to Yak2Me's operations, in any form, medium, or future technology. This includes, but is not limited to, using the content to operate, enhance, and maintain the Services. You also agree that these granted rights include allowing Yak2Me to make the content accessible to, and share these rights with, other parties with whom we have contractual agreements, and to permit third-party access to or disclosure of the content as we deem necessary or appropriate.

While not obligatory, Yak2Me reserves the right to access, review, screen, edit, modify, and remove your content at any time and for any reason. This may include ensuring the content's alignment with our Services or compliance with these Terms, as well as any applicable laws.

Compliance and Indemnification

Legal Compliance: You agree to comply with all applicable laws and regulations in your use of the Services.
Indemnification: You agree to indemnify and hold harmless Yak2Me., its affiliates, and their respective officers and employees from any claims arising from your use of the Services or violation of these Terms.
We are not liable for any content or materials produced by third parties, including AI characters ("Characters") and their generated content ("Generations"). This includes, but is not limited to, potential infringement of intellectual property rights, any errors or omissions in content, and any loss or damage incurred from using such third-party content. It's important to recognize that we do not pre-screen content and AI-generated interactions can be unpredictable. As a user, you are responsible for assessing and bearing all risks associated with using any third-party Content or AI-generations. Relying on the accuracy or completeness of such content is at your own risk.
We reserve the right, though not the obligation, to remove or refuse any content available via the Services at our sole discretion. This includes, but is not limited to, content that violates these Terms or is otherwise deemed objectionable by us.

This grant is made to the fullest extent permitted under law and enables Yak2Me to fully utilize the creative potential of your Characters and their AI generations while maintaining your ownership rights.

Dispute Resolution

Arbitration Agreement: Disputes arising under these Terms will be resolved through binding arbitration.
Governing Law: These Terms are governed by the laws of the jurisdiction in which we are located which is Delaware, USA.

Copyright Violations

Yak2Me, respects the intellectual property rights of others and we expect our users to do the same. If you believe that your work has been copied in a manner that constitutes copyright infringement, or if your intellectual property rights have been otherwise infringed upon, please inform us about your claim.

Modifications to Terms and Services

Changes to Terms: We reserve the right to modify these Terms at any time. Your continued use of the Services following such changes constitutes your acceptance of the new Terms.
Service Changes: We may change or discontinue any aspect of the Services at our discretion.

Limitation of Liability

Please understand and acknowledge that Yak2Me shall not be liable for any indirect, incidental, special, consequential, or exemplary damages. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if we have been advised of the possibility of such damages). These limitations apply whether the damages arise from the use or the inability to use the Yak2Me Services; your access to, use of, creation of, or interaction with any content, Characters, or Generations; unauthorized access to or alterations of your transmissions or data; the conduct of any third party on the Services; or any other matter related to the Yak2Me Services. The total liability of Yak2Me. shall not exceed the greater of $100 or the total amount you have paid to Yak2Me. for the use of its Services, if any.

It's important to note that some jurisdictions do not permit the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. As such, some of the above limitations may not apply to you. If you are dissatisfied with any aspect of the Yak2Me site or these Terms of Use, your sole and exclusive remedy is to discontinue using the Yak2Me Services.

Termination

We may suspend or terminate your access to the Services for various reasons, including violation of these Terms or inactivity.
